1. Agreement to these Terms
These Terms of Service («Terms») govern access to and use of Clip Pilot, a service operated by Azterion Technologies («Azterion,» «Clip Pilot,» «we,» «us,» or «our»). By accessing or using the website, dashboard, APIs, integrations, or related services, you agree to these Terms. If you use Clip Pilot for an organization, you represent that you have authority to bind that organization.
2. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a contract. You must provide accurate account information, protect credentials, limit access to authorized users, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and workspace.
3. The service
Clip Pilot helps authorized creators and editorial teams ingest or capture recordings, analyze audience and content signals, generate candidate clips, edit captions and metadata, prepare exports, and, where enabled, transfer approved content to connected services.
Features may vary by plan, region, platform availability, third-party approval, and technical environment. We may improve, modify, suspend, or discontinue features with reasonable notice where practicable.
4. Authorized content and permissions
You are solely responsible for obtaining and maintaining all rights, licenses, consents, releases, and notices needed to:
- Monitor, capture, store, upload, transcribe, analyze, edit, reproduce, and distribute content.
- Process voices, likenesses, usernames, comments, and other personal information appearing in content.
- Use trademarks, music, footage, and other protected material.
- Comply with creator agreements, platform rules, advertising disclosures, and applicable laws.
Permission from a creator does not waive the rights of other people or third-party rights that may appear in a recording.
5. Acceptable use
You must not:
- Use Clip Pilot to capture, process, or publish content without required authorization.
- Violate privacy, publicity, copyright, trademark, contractual, or other rights.
- Use the service for unlawful, deceptive, abusive, harassing, exploitative, or adult content.
- Bypass access controls, quotas, platform safeguards, or technical restrictions.
- Probe, reverse engineer, disrupt, overload, scrape, resell, or misuse the service except where applicable law expressly permits.
- Upload malware, attempt unauthorized access, or interfere with another user’s workspace.
- Represent an AI score as a guarantee of reach, revenue, or platform recommendation.
6. Your content
You retain ownership of content you submit. You grant Azterion a limited, non-exclusive, worldwide license to host, copy, process, modify, transmit, display, and create technical derivatives of that content only as necessary to provide, secure, support, and improve the service and to follow your instructions.
You represent that your content and our permitted processing of it will not violate law, these Terms, or the rights of any person. You control editorial decisions and remain responsible for reviewed, exported, or published content.
7. AI-generated output
Transcripts, titles, hooks, scores, captions, classifications, and edit suggestions may be generated automatically. Outputs may be inaccurate, incomplete, offensive, or unsuitable. You must review outputs before relying on or publishing them. Clip Pilot does not guarantee virality, views, engagement, monetization, continued platform availability, or any specific business result.
8. Third-party services and TikTok
Clip Pilot may integrate with third-party platforms. Your use of those platforms remains subject to their terms, policies, limits, and approval processes. A platform may change or withdraw an API, reject content, limit an account, or suspend an integration at any time.
Clip Pilot is an independent product of Azterion Technologies and is not sponsored, endorsed by, or affiliated with TikTok unless expressly stated otherwise. TikTok is a trademark of its respective owner.
We transfer content to a connected platform only through enabled workflows and permissions. Publication may require additional confirmation or editing inside the third-party service.
9. Fees and beta services
Some features may be offered through a private beta, trial, custom agreement, or paid plan. Pricing, usage limits, taxes, renewal terms, and cancellation rights will be disclosed before charges apply. Beta features may be incomplete, changed, or discontinued and may have additional limits.
10. Intellectual property
Clip Pilot, including its software, workflows, visual design, documentation, trademarks, and underlying technology, is owned by Azterion or its licensors and protected by law. Except for the limited right to use the service under these Terms, no rights are transferred to you.
If you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.
11. Suspension and termination
You may stop using the service at any time. We may suspend or terminate access if you materially breach these Terms, create legal or security risk, fail to pay applicable fees, misuse a third-party integration, or if continued service becomes impracticable. Where appropriate, we will provide notice and an opportunity to cure.
Upon termination, your right to use Clip Pilot ends. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, limitations, indemnity, and dispute terms—will survive.
12. Disclaimers
To the maximum extent permitted by law, Clip Pilot is provided «as is» and «as available.» We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. We do not warrant that content will be preserved indefinitely or accepted, published, recommended, or monetized by any platform.
13. Limitation of liability
To the maximum extent permitted by law, Azterion and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, content, or business opportunity arising from the service.
Our aggregate liability arising out of or relating to Clip Pilot will not exceed the greater of the amount you paid for the service during the six months before the event giving rise to liability or USD $100. These limitations do not apply where prohibited by law.
14. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Azterion and its affiliates, officers, employees, and suppliers from claims, damages, losses, liabilities, costs, and expenses arising from your content, your use of the service, your connected accounts, your violation of these Terms, or your infringement of another person’s rights.
15. Governing law and disputes
These Terms are governed by the laws of Mexico and the State of Chihuahua, without regard to conflict-of-law principles. Courts located in Chihuahua, Chihuahua, Mexico will have exclusive jurisdiction, except where applicable consumer law requires another forum.
16. Changes to these Terms
We may update these Terms as Clip Pilot evolves. We will update the date on this page and provide additional notice for material changes when required. Continued use after the effective date constitutes acceptance of the revised Terms.
